These Terms of Use (“Terms”) are an agreement between you (“you”) and HappyCo, dba GetVendorBids or VendorBids (“Company”, “VendorBids”, “we”, “us” or “our”). By accessing or using any of our websites, applications, software, tools, subscriptions, APIs, widgets, or other products and services (collectively, the Services), you agree to be bound by these Terms and all documents incorporated by reference, including our Privacy Policy and any posted policies or guidelines.

Overview

These Terms consist of three parts:

Part 1: User Terms

Confidentiality, Pricing Non-Circumvention & Terms of Use

These User Terms govern access to and use of VendorBids by any customer, client, or vendor acting as a user (“User”).

1. Confidential & Proprietary Information

All information disclosed by User to VendorBids, including property information, scopes of work, budgets, pricing inputs, and operational data (“Confidential Information”), is proprietary and shall be treated as strictly confidential. VendorBids may disclose such information only as necessary to solicit authorized pricing, bids, or proposals.

2. Proprietary Nature of Solicited Pricing

All pricing, bids, estimates, proposals, and commercial terms facilitated by VendorBids (“Solicited Pricing”) are proprietary to VendorBids and may not be shared, reused, benchmarked, or relied upon to contract directly or indirectly with vendors without prior written consent.

3. Non-Circumvention

Users may not circumvent VendorBids by contracting directly with vendors introduced through VendorBids for the same or substantially similar scope of work without VendorBids’ prior written approval. This obligation survives termination.

4. Breach, Damages, and Remedies

Unauthorized use or disclosure constitutes irreparable harm. Liquidated damages equal to 100% of the resulting contract value, plus interest and enforcement costs, may apply. VendorBids may seek injunctive and equitable relief.
